{"id":22962,"date":"2013-11-14T15:19:40","date_gmt":"2013-11-14T15:19:40","guid":{"rendered":"https:\/\/www.capitalfm.co.ke\/business\/?p=22962"},"modified":"2013-11-14T15:19:40","modified_gmt":"2013-11-14T15:19:40","slug":"rea-vipingo-plantations-ltd-faces-take-over","status":"publish","type":"post","link":"https:\/\/www.capitalfm.co.ke\/business\/2013\/11\/rea-vipingo-plantations-ltd-faces-take-over\/","title":{"rendered":"Rea Vipingo Plantations Ltd faces take-over"},"content":{"rendered":"<p><a href=\"https:\/\/www.capitalfm.co.ke\/business\/files\/2013\/11\/NSE-HQS.jpg\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/www.capitalfm.co.ke\/business\/files\/2013\/11\/NSE-HQS.jpg\" alt=\"NSE-HQS\" width=\"408\" height=\"245\" class=\"alignleft size-full wp-image-22963\" srcset=\"https:\/\/www.capitalfm.co.ke\/business\/files\/2013\/11\/NSE-HQS.jpg 408w, https:\/\/www.capitalfm.co.ke\/business\/files\/2013\/11\/NSE-HQS-300x180.jpg 300w\" sizes=\"auto, (max-width: 408px) 100vw, 408px\" \/><\/a><strong>NAIROBI, Kenya, Nov 14 &#8211; REA Trading (REAT) has made a cash offer to acquire and delist Rea Vipingo Plantations (RVP).<\/p>\n<p>The Capital Markets Authority says in the interest of the shareholders of the company, trading of RVP shares on the Nairobi Securities Exchange has been suspended.<\/strong><\/p>\n<p>&#8220;The Directors of REA Vipingo Plantations Limited were, on 12th November 2013, served by REA Trading Limited with a notice of intention to acquire all of the issued shares of the  company that the offeror does not already beneficially own,&#8221; CMA says in a statement.<\/p>\n<p>RVP owns and operates sisal farms in Kenya and Tanzania and is the largest sisal fibre producer in Africa.<\/p>\n<p>The group is organized into two divisions; Agriculture (cultivation, production of sisal fibre and cultivation of horticultural crops) and spinning services (conversion of sisal fibre into yarns and twines).<\/p>\n<p>The bulk of group sales are made to a related party (Wigglesworth) at market price.<\/p>\n<p>REAT currently holds a 57.04 percent holding in RVP.<\/p>\n<p>An offer document will be sent out to shareholders within 75 days of today&#8217;s press notice, and they will have at least 30 days to accept or reject the offer.<\/p>\n<p>The threshold for delisting is 90 percent acceptance rate.<\/p>\n<p>The transaction is to be completed no later than 30 April 2014.<\/p>\n<p>&#8220;The offer is subject to several conditions and various regulatory approvals.
